India Glycols Limited (IGL) has completed a major corporate restructuring through a Scheme of Arrangement (Demerger) involving India Glycols Limited, IGL Spirits Limited, and Ennature Bio Pharma Limited.
The scheme was sanctioned by the Hon’ble National Company Law Tribunal (NCLT), Allahabad Bench, and has now become effective on September 1, 2026, following the filing of the certified NCLT Order with the Registrar of Companies, Uttarakhand.
The demerger will result in India Glycols operating through three separate entities, each with a focused business vertical.
Here’s what it means for shareholders
Shareholders of India Glycols Limited will receive shares in the two resulting companies as per the approved scheme.
Record Date: September 2, 2026
Share Entitlement Ratio:
1 equity share of IGL Spirits Limited
for every 1 equity share of India Glycols Limited
1 equity share of Ennature Bio Pharma Limited
for every 3 equity shares of India Glycols Limited held.
For example, if you held 300 shares of India Glycols Limited on the Record Date, you will be entitled to receive 300 shares of IGL Spirits Limited and 100 shares of Ennature Bio Pharma Limited.
As a result, you would hold a total of 700 shares across the three entities — 300 India Glycols shares, 300 IGL Spirits shares and 100 Ennature Bio Pharma shares.

Post-Demerger Status
India Glycols Limited will continue with its chemicals, glycols, bio-glycols, specialty products and industrial gases businesses.
IGL Spirits Limited will house the spirits, including IMFL, country liquor and bio-fuel businesses and will apply for listing on BSE and NSE.
Ennature Bio Pharma Limited will house the bio-pharma and bio-polymers businesses and will also apply for listing on BSE and NSE.
What changes for investors
Eligible shareholders will continue to hold their India Glycols shares and will additionally receive shares of the two resulting companies based on the approved entitlement ratio.
The shares of IGL Spirits Limited and Ennature Bio Pharma Limited are proposed to be listed on BSE and NSE, subject to completion of the necessary formalities.
Until then, these shares will appear under the unlisted section of your demat account and will be tradable post listing.
The average buy price of your existing Prima Plastics holdings will be updated after the company announces the Cost of Acquisition (COA) post-demerger.
